Post acquisition, post merger management
Post merger management: concluding the negotiations is only the beginning
Closing the acquisition or creating the Joint-Venture or the partnership is only the beginning of a long term project.
We need to plan as soon as possible for the time after conclusion of negotiations, and learn from the mistakes made by others to reduce our risks of failure in the later stages of the acquisition project.
Many acquisitions of Japanese corporations by foreign corporations have unfortunately failed, examples include:
- Cable & Wireless
- Vodafone’s failed acquisition of Japan Telecom and J-Phone
- Daimler’s acquisition of Mitsubishi-Motors
- Volkswagen’s attempted essentially hostile takeover of Suzuki Motors: Mr. Suzuki didn’t want to be a Volkswagen employee, and that’s understandable (Prof. Dudenhoeffer via Bloomberg)
- and many more
Our post-merger solutions
Avoid misunderstandings. Build trust, communication and cooperation
Currently we are in preparations for two cases – one is a Japanese company investing in / acquiring a European company, the other is a European company in the process of investing in / acquiring a Japanese company. In each case our client (in each case the acquiring company) is in discussions with us for Gerhard Fasol to be Board Director of the acquired company
